User Agreement

This SunLink User Agreement ("Agreement") governs your use of the SunLink website, platform, and related services (collectively, the "Site" or "Platform"). By creating an account, accessing the Platform, or initiating a solar project through SunLink ("SunLink Project Initiation Services"), you acknowledge that you have read, understood, and agreed to be bound by this Agreement. Sunlink Platform Holdings, INC ("SunLink," "we," "our," or "us") may revise this Agreement at any time. Changes will be posted on the Site with an updated revision date. Continued use of the Site constitutes acceptance of any revised terms. PLEASE READ THIS AGREEMENT CAREFULLY. IT INCLUDES IMPORTANT INFORMATION REGARDING YOUR RIGHTS, OBLIGATIONS, AND LIMITATIONS OF LIABILITY, INCLUDING MANDATORY ARBITRATION AND A CLASS-ACTION WAIVER.

For purposes of this Agreement, the following terms shall have the meanings indicated: • "User" means any person or entity accessing the Platform. • "Account" means a registered user account created on the Platform. • "SunLink Project Initiation Services" means the process by which a User initiates a solar project through SunLink, including payment of the required project deposit. • "Registration Information" means all information provided during account creation. • "Project Information" means all data submitted by the User relating to a particular property, utility usage, and solar preferences. • "Installer" means an independent third-party solar contractor to whom a User is routed by the Platform. • "Site Content" means all data, text, graphics, software, tools, models, and materials accessible through the Platform. • "Privacy Policy" means the SunLink Privacy Policy incorporated by reference into this Agreement.

Use of the Platform is limited to individuals who are at least eighteen years of age, who possess the legal capacity to enter into binding contracts, and who have lawful authority to make decisions and submit information regarding the property they upload to the Platform. By using the Platform, you represent and warrant that you meet all eligibility criteria and that you will not submit information for any property unless you are legally authorized to do so.

To access certain features of the Platform, including the SunLink Project Initiation Services, you must create an Account by providing complete and accurate Registration Information, which includes your name, service address, email address, phone number, utility provider, average monthly electric bill, and a secure password. You agree to maintain accurate and updated information at all times. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity conducted under your Account. If you suspect unauthorized access or a security breach involving your Account, you must notify SunLink immediately. You acknowledge that SunLink is not liable for any loss or damage arising from unauthorized access resulting from your failure to safeguard your credentials.

Exploring the Platform and viewing initial modeling results is provided at no cost. To initiate a project and engage the SunLink Project Initiation Services, you must submit a $500 project deposit through SunLink's third-party payment processor, Stripe. This deposit is fully refundable if you cancel within the cancellation period required by the laws of your state, which typically ranges between three and seven business days. Refund requests must be submitted to legal@sunlink.solar. The deposit is paid directly to SunLink and is not tied to financing approval, installation obligations, or contractual commitments with any Installer.

SunLink may offer Users the ability to apply for financing through GoodLeap, a third-party lender. SunLink is not a lender, loan originator, loan broker, agent, or financial advisor. SunLink does not determine loan eligibility, underwriting criteria, interest rates, terms, conditions, or approval decisions. All financing decisions are made exclusively by GoodLeap, and all loan disclosures, agreements, and servicing are provided solely by GoodLeap. SunLink does not guarantee that financing will be approved, available, or offered on any particular terms. SunLink does not receive compensation from lenders as part of the User's financing process.

SunLink provides Users with automated solar recommendations based on the combination of Project Information and external data sources. SunLink's modeling systems use aerial imagery, computer-vision-based roof segmentation, shading analysis, irradiance data, NREL's PVWatts production engine, weather datasets, utility tariff and rate information, and User-provided assumptions. These recommendations are estimates based on the available data and should not be interpreted as engineering-grade designs, legally binding projections, or guaranteed performance outcomes. Actual results may vary based on environmental conditions, installation quality, equipment selection, consumption patterns, shading changes, and utility-rate fluctuations. SunLink does not guarantee any particular level of energy production, savings, financial return, or eligibility for tax credits or incentives.

SunLink operates exclusively as a technology platform, software provider, and routing service. SunLink is not a solar contractor, installer, engineer, lender, broker, or professional services provider. SunLink does not perform site visits, engineering, permitting, installation, or inspection services. All installation and construction work is performed solely by independent Installers selected through the Platform. Installers are not employees, agents, or representatives of SunLink, and SunLink does not supervise, control, or guarantee Installer workmanship, performance, timelines, warranties, pricing, or compliance with law. SunLink is not responsible for Installer actions, omissions, contractual terms, or installation outcomes. SunLink's role with respect to lenders, including GoodLeap, is limited to displaying lender interfaces and enabling Users to submit financing applications at their direction. SunLink is not a party to any contract between a User and an Installer or lender.

By creating an Account, submitting Project Information, and initiating a project, you expressly direct and authorize SunLink to transmit your information to an Installer for purposes of preparing a solar proposal and, if you choose, completing a solar installation. This transfer is initiated by you and is considered consumer-directed sharing and a service-provider transfer. SunLink does not sell personal information and does not disclose User data to Installers for monetary or other valuable consideration unrelated to User requests.

By using the Platform, you agree that you will not misuse or interfere with any part of the Platform. Prohibited conduct includes engaging in fraudulent, false, or misleading submissions; providing property information without legal authority; introducing viruses, malware, harmful code, or attempting to disrupt the Platform's functionality; bypassing or attempting to bypass Platform security measures; scraping, harvesting, extracting, reverse-engineering, or attempting to derive any source code, algorithms, or data models; using bots, automation, or unauthorized scripts; attempting to access another User's account, information, or project; interfering with SunLink's servers, systems, or network architecture; impersonating any person or entity; or using the Platform in any manner that is unlawful, abusive, harassing, or harmful. Violation of this section constitutes a material breach of this Agreement and may result in immediate termination of your Account without refund.

The Platform, Site Content, modeling systems, communication features, solar recommendations, and all SunLink Project Initiation Services are provided on an "as-is" and "as-available" basis without warranties of any kind, whether express or implied. To the fullest extent permitted by law, SunLink disclaims all warranties, including any warranties of accuracy, reliability, fitness for a particular purpose, merchantability, non-infringement, system availability, or error-free operation. SunLink does not guarantee energy production, bill savings, offset levels, system performance, tax credit eligibility, financing approval, construction timelines, equipment functionality, or compliance of installation services. All such outcomes depend on third-party Installers, User assumptions, and external variables beyond SunLink's control.

To the maximum extent permitted by law, SunLink's total aggregate liability arising from or relating to this Agreement, the Platform, or any services provided hereunder shall be strictly limited to the total amount paid by you to SunLink, which is typically the $500 project deposit. In no event shall SunLink be liable for consequential, incidental, indirect, exemplary, punitive, or special damages, including damages relating to energy production estimates, bill savings, utility-rate changes, tax credit eligibility, installer performance, financing decisions, construction delays, or loss of data. These limitations apply regardless of the theory of liability and even if SunLink has been advised of the possibility of such damages.

You agree to indemnify, defend, and hold harmless SunLink, its affiliates, officers, directors, employees, and contractors from and against any claims, demands, liabilities, losses, damages, or expenses, including reasonable attorneys' fees, arising out of or related to your use of the Platform, your violation of this Agreement, your interactions with Installers or lenders, your submission of inaccurate information, or your unauthorized use of any Site Content.

Any dispute, claim, or controversy arising out of or relating to this Agreement, your use of the Platform, or any related services shall be resolved exclusively through binding arbitration administered pursuant to the Federal Arbitration Act. Arbitration shall be conducted on an individual basis, and you expressly waive any right to participate in a class action, collective action, private-attorney-general action, or any other representative proceeding. The arbitrator shall have authority only to resolve disputes between you and SunLink in your individual capacity. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

By using the Platform, you consent to the use of electronic signatures and electronic delivery of agreements, disclosures, notices, and other documents. You agree that electronic signatures have the same legal effect as handwritten signatures.

SunLink may suspend or terminate your Account at any time, with or without cause, including for any violation of this Agreement, suspected misuse of the Platform, or failure to provide accurate information. Upon termination, your access to the Platform shall cease, but the following provisions shall survive: disclaimers, limitation of liability, arbitration, indemnification, and any other terms that by their nature must survive termination.

This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and SunLink regarding your use of the Platform and supersedes all prior agreements, understandings, and representations relating thereto. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
